Terms & Conditions

These Terms & Conditions apply to all services and digital offerings provided by Ioana Vintila (hereinafter referred to as “the Provider”), including coaching programs, individual sessions, group sessions, educational content, and online resources.
By booking, purchasing, or participating in any service or content offered by the Provider, you agree to these Terms & Conditions.
1. Scope of Services
The Provider offers educational and coaching-based services, including but not limited to the following:
a) Initial Consultation Calls
Paid, structured intake sessions designed to review the client’s current context and goals, assess alignment with available services, and provide orientation and clarification regarding potential next steps. These calls are educational and coaching-oriented in nature and do not constitute medical, diagnostic, or therapeutic services.
b) Educational Programs
Including the POTS Possibilitation Program, which may be offered as a standalone educational course or combined with optional coaching support layers. Standalone educational programs include access to the program platform and the ability to ask questions via written comments. Responses provided through comments are informational and educational in nature.
c) Coaching Support Layers
Depending on the option selected, clients may receive group coaching sessions, individual one-on-one coaching sessions, or a combination of both. The structure, frequency, duration, and format of coaching support are defined at the time of purchase.
d) Additional One-on-One Sessions
Individual coaching sessions may be booked separately, whether or not the client is enrolled in a program, subject to availability and current pricing.
e) Family, Caregiver & Support-System Consultations
The Provider may offer educational consultations for parents, partners, caregivers, or family members seeking guidance related to supporting a loved one. These sessions may include the individual being supported, where appropriate, and are informational in nature.
f) Professional & Peer Consultations
The Provider may offer consultation sessions for aspiring or current health coaches, practitioners, or other professionals.
These consultations are educational and experience-based, focused on knowledge-sharing and professional perspective, and do not constitute supervision, certification, or licensing.
2. Nature of Coaching & Disclaimer
All services provided are educational and coaching-based in nature.
The Provider does not provide medical advice, diagnosis, or treatment, does not replace medical or mental health care, and does not guarantee specific health outcomes.
Clients remain fully responsible for their own health decisions and are encouraged to work with licensed medical or mental health professionals as needed. Any implementation of suggestions is done at the client’s own discretion.
Services are intended for individuals 18 years or older. Participation by individuals under 18 requires prior written consent from a parent or legal guardian.
3. Payments and Pricing
All prices for services are disclosed prior to purchase and are payable in the currency indicated at checkout.
Single-session services, including but not limited to Initial Consultation Calls, one-off one-on-one sessions, family or caregiver consultations, and professional or peer consultation calls, must be paid in full prior to the scheduled session. Services cannot be provided unless payment has been successfully received.
Multi-session or fixed-duration services, including one-on-one coaching containers, group coaching programs, and the POTS Possibilitation Program, may be offered either as a one-time payment or through an installment payment plan, as specified at the time of enrollment.
By enrolling in a payment plan, the Client agrees to complete all scheduled payments according to the agreed-upon terms, regardless of attendance, participation level, or perceived outcomes.
4. Missed Payments and Access Suspension
For services offered under a payment plan, payments are due according to the schedule agreed upon at enrollment.
If a scheduled payment is not successfully processed, the Client will receive automated payment reminders through the payment platform.
If payment remains outstanding for seven (7) days after the due date, the Client’s access to program materials, group calls, and/or scheduled sessions may be temporarily paused until payment is brought current.
During any pause period, the service term continues to run, no additional services will be delivered, and missed sessions or group calls are not rescheduled or extended.
Once payment is successfully received, access will be restored for the remainder of the original service period.
Continued non-payment may result in termination of access to the program or services in accordance with these Terms, without release from outstanding payment obligations, unless otherwise required by applicable law.
5. Refunds & Withdrawal
5.1 Non-refundable services (single-session services)
The following services are non-refundable once booked and paid: Initial Consultation Calls, One-off One-on-One Calls, Provider/Practitioner Consultation Calls, Family/Caregiver Support Calls, and Standalone Group Calls or Workshops (if applicable).
Payment is due prior to the delivery of these services. Once the service has been provided, or once the scheduled time has passed, no refunds are issued.
5.2 Withdrawal from multi-month programs (14-day withdrawal period)
For multi-month services, including but not limited to Group Coaching Programs, One-on-One Coaching Containers, and the POTS Possibilitation Program (and any bundled variations), clients may withdraw from the program within 14 days of the program start date ("Withdrawal Period").
The first few days of the program include a structured onboarding and assessment phase. This phase includes review of intake materials and forms, note-taking, administrative setup, and other preparatory work necessary to support the coaching process. The onboarding and assessment phase is valued at $100 and is non-refundable once completed.
If a client withdraws within the Withdrawal Period:
The $100 onboarding and assessment fee remains due and non-refundable.
Payment for services provided during the Withdrawal Period remains due and non-refundable and will be calculated on a prorated basis based on the number of days completed in the program prior to withdrawal, relative to the total program duration.
Any remaining future payments under a payment plan are canceled.
Access to the program, platform, coaching services, and support ends immediately upon withdrawal.
5.3 No refunds after the Withdrawal Period
After the initial 14-day Withdrawal Period, no refunds are provided, regardless of participation level, progress, perceived results, or personal circumstances. Withdrawal after this period does not release the client from payment obligations already incurred under a payment plan. Lack of participation, missed sessions, or failure to engage with the program does not entitle the client to a refund.
5.4 Early exit after the Withdrawal Period
If a client chooses to exit a program after the Withdrawal Period, access to the program, platform, recordings, and all forms of support ends immediately, no refunds are issued beyond the terms outlined above, and any unpaid future installments may remain contractually due, even if access has ended.
5.5 Provider-initiated termination
The Provider reserves the right to terminate the coaching relationship if it is deemed no longer appropriate, constructive, or aligned. In such cases, any prepaid but unused portion of the program will be refunded and access will end upon termination.
6. Force Majeure
The Provider shall not be held liable for delays or failure to perform services due to events beyond reasonable control (e.g. illness, technical outages, force majeure).
7. Delivery of Services & Third-Party Platforms
The Provider delivers services using third-party platforms and tools, including but not limited to Xperiencify, Google, Stripe, email providers, and website hosting services.
The Provider is not responsible for interruptions, outages, data loss, policy changes, technical failures, or limitations caused by these third-party platforms that are outside of the Provider’s control. Temporary disruptions to services resulting from such events do not constitute grounds for refunds or extensions beyond what is expressly stated in these Terms.
8. Results Disclaimer
Results are not guaranteed. Progress depends on many factors, including (but not limited to) client engagement, health status, external circumstances, and personal capacity.
9. Communication and Support
9.1 Scope of support
Support is provided exclusively through scheduled coaching calls included in the client’s purchased service, the designated program platform (including written responses where applicable), and any additional paid services explicitly included in the client’s offering. Support outside of these channels is not included unless otherwise agreed in writing.
9.2 No crisis or emergency support
The services provided are not intended as crisis, emergency, or mental health support. Clients experiencing acute distress, medical emergencies, or mental health crises are encouraged to seek immediate support from qualified medical professionals or local emergency services.
9.3 Platform Access After Program Completion
Upon completion of a fixed-duration program (including the POTS Possibilitation Program), clients may retain continued access to program materials hosted on the platform, such as pre-recorded videos and educational resources, for self-guided use.
Interactive support, including but not limited to written responses to comments, direct feedback, ongoing guidance, and group or individual coaching support, ends when the active program period concludes, unless otherwise stated in writing.
Continued access to materials does not include continued coaching, consultation, or personalized support.
Clients are welcome to continue engaging with the materials independently after program completion. Any additional support beyond this period must be booked as a separate paid service.
10. Group Calls & Recordings
Group coaching calls are recorded and shared only within the program platform for participating clients. Recordings are provided for personal use only. Redistribution, sharing, or commercial use of recordings is strictly prohibited.
11. Code of Conduct
Clients are expected to engage respectfully.
The Provider reserves the right to remove a client from group spaces if behavior is disruptive, disrespectful, or violates boundaries. Removal due to conduct does not entitle the client to a refund.
12. Confidentiality Clause
All personal information shared within the coaching relationship is treated confidentially, except where disclosure is required by law.
13. Educational Content & Intellectual Property
13.1 Intellectual Property Ownership
All content, materials, recordings, and resources remain the intellectual property of the Provider unless otherwise stated. Clients may not copy, distribute, or reproduce content without explicit written permission.
13.2 Personal Use & Non-Transferability
Access to all programs, courses, recordings, materials, and platforms is granted solely to the individual client who purchased the service. Access is personal, non-transferable, and may not be shared, resold, assigned, sublicensed, or made available to any third party without the Provider’s prior written consent.
14. Governing Law & Jurisdiction
These Terms & Conditions are governed by the laws of Germany. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Germany.
15. Changes to Terms
The Provider reserves the right to update these Terms & Conditions as needed.
The version in effect at the time of purchase applies.
The most current version of the Terms will always be available on the website.
16. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms constitute the entire agreement between the client and the Provider regarding the services and supersede any prior agreements of understandings.
